Bagpipes Software License (the “License”)

Copyright (c) 2024-present Rust Syndicate LLC and Decentration Trust Company /

The entity operating under the domain name Bagpipes.io.

Grant of License:

This License governs the use, modification, and distribution of the Bagpipes

Software. By using, modifying, or distributing the Software, you agree to abide by

the terms and conditions outlined herein.

1. Personal Use:

The Bagpipes Software is freely available for personal use without any restrictions.

"Personal use" is defined as non-commercial and non-enterprise use for individual,

educational, or research purposes.

2. Running Own Instances:

Users are granted the right to run their own instances of Bagpipes without

limitations. This includes the freedom to modify the software for personal use or

within their own organizations. Users can run their instances without charging for

its use.

3. Restrictions:

  • A. Reselling/Sublicensing:
    The reselling or sublicensing of the Bagpipes Software is strictly prohibited. This restriction extends to any derivative work based on the Bagpipes Software.

  • B. Enterprise Licensing:
    Enterprises, defined as legal entities engaged in commercial activities, must obtain a valid Bagpipes Enterprise License for any commercial use.

Enterprise licenses can be obtained through contacting legal at firosolutions dot com.

  • C. White-labeling:
    White-labeling of Bagpipes, i.e., rebranding it for commercial purposes, is not allowed without explicit written permission or the acquisition of an enterprise license.

  • D. Hosting and Charging:
    Users are prohibited from hosting Bagpipes and charging individuals or entities for its use without prior permission. Commercial hosting providers intending to offer Bagpipes as a service must enter into a separate agreement with Bagpipes.io.

  • E. Non-Commercial Hosting:
    Hosting Bagpipes for non-commercial purposes, such as community-driven projects or educational initiatives, is allowed without explicit permission.

Legally Binding:

This License is legally binding under the laws of the Republic of Georgia. Any disputes arising from the interpretation or enforcement of this License shall be resolved through arbitration or litigation as determined by the Licensor.

4. Governing Law and Dispute Resolution:

The laws of the Republic of Georgia govern this License. Any legal disputes related to this License will be exclusively resolved in the courts of Republic of Georgia [venue], which shall be determined by the Licensor.

"Venue" is defined as Republic of Georgia, where any legal proceedings arising from or in connection with this License shall be exclusively resolved. This venue is chosen to provide an efficient and fair resolution of disputes.

The dispute resolution process may also include international arbitration or litigation if deemed necessary by the Licensor, with the specific venue for such proceedings to be determined by mutual agreement between the parties involved.

Worldwide Applicability:

This License is applicable worldwide. Users are expected to comply with international copyright and intellectual property laws.

Implementation:

The terms of this License are documented in the LICENSE.md file within the Bagpipes Software repository. Each source code file includes a license header for clear visibility.

5. Versioning:

  • The License may be updated or modified. Users are encouraged to review the latest version and adhere to its terms.

6. Attribution:

  • Users are encouraged, but not obligated, to provide attribution to Bagpipes.io and the original authors in any public-facing documentation, websites, or other materials related to their use of Bagpipes.

7. Modifications:

Users are allowed to modify the Bagpipes Software for personal or internal organizational use. Modifications should be clearly marked, and any distribution of modified versions must comply with the terms of this license.

8. Open Source Contributions:

Contributions to the Bagpipes Software in the form of bug fixes, enhancements, or new features are welcome. Contributors agree to license their contributions under the terms of this License.

9. Third-Party Components:

Certain components incorporated into Bagpipes Software may have their own licenses. Users are responsible for complying with the terms of those licenses.

10. Patents:

Bagpipes.io grants users a license, under any patent claims it can license, to make, have made, use, sell, offer for sale, import, and have imported the Bagpipes Software. This license is subject to the limitations and conditions in this License.

11. Indemnification:

Users agree to indemnify and hold harmless Bagpipes.io, its affiliates, and contributors from any claims, damages, or liabilities arising out of the use, modification, or distribution of the Bagpipes Software.

12. Termination:

Violation of the terms of this License may result in automatic termination of the license. If notified of a violation, users have 30 days to remedy the violation.

Failure to do so will result in permanent termination of the license.

13. Disclaimer of Warranty:

The Bagpipes Software is provided "as is," without warranty of any kind, express or implied. Bagpipes.io makes no representations or warranties regarding the suitability, reliability, or accuracy of the Software.

Bagpipes.io is not responsible for any loss of funds, and users agree that Bagpipes.io is not liable for any problems or mistakes the software might make.

14. Limitation of Liability:

- Bagpipes.io and its contributors shall not be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) arising in any way out of the use of the Bagpipes Software.
